Service Provider Agreement

This Service Provider Agreement ("Agreement") is entered into between you ("Service Provider," "Provider," "you," or "your") and Seer Global Solutions Limited, a Nigerian company and subsidiary of Seer Group Inc. ("Ezzyly," "Company," "we," "us," or "our"), governing your participation as a service provider on the Ezzyly platform.

By clicking "Accept," registering as a Service Provider, or using the Ezzyly platform to offer services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. DEFINITIONS

For purposes of this Agreement:

  • "Platform" means the Ezzyly mobile application, website, and related technology services
  • "Services" means the services you offer to Customers through the Platform
  • "Customers" means individuals or businesses who book Services through the Platform
  • "Booking" means a confirmed service request between you and a Customer
  • "Service Fee" means the commission charged by Ezzyly for use of the Platform
  • "Payout" means payment transferred to you for completed Services

2. PROVIDER RELATIONSHIP

2.1 Independent Contractor Status

You acknowledge and agree that:

  • You are an independent contractor, not an employee, partner, or agent of Ezzyly
  • You are not entitled to employee benefits from Ezzyly
  • You are responsible for your own expenses, taxes, and business operations
  • You have no authority to bind Ezzyly to any obligations
  • You are free to provide services through other platforms

2.2 Business Operations

You retain complete control over:

  • When, where, and how you provide Services
  • Which Bookings to accept or decline
  • Your pricing (subject to Platform guidelines)
  • Your business methods and operations
  • Your equipment and materials

2.3 No Exclusivity

  • This Agreement does not create an exclusive relationship
  • You may work for other platforms or maintain other employment
  • Ezzyly may contract with other service providers in your category

3. PROVIDER REQUIREMENTS

3.1 Eligibility

To be a Service Provider, you must:

  • Be at least 18 years old
  • Have the legal right to work in Nigeria
  • Possess a valid Nigerian phone number
  • Have a Nigerian bank account or approved mobile money account
  • Pass identity verification requirements
  • Maintain all required licenses and permits for your Services

3.2 Required Documentation

You must provide and maintain:

  • Valid Nigerian ID: NIN, Driver's License, Voter's Card, or International Passport
  • BVN: Bank Verification Number for payment processing
  • Professional Documents: Licenses, certifications, permits as applicable
  • Business Registration: CAC documents (if operating as a registered business)
  • Insurance: Professional liability insurance (where required by law)
  • Tax Documentation: TIN where applicable

3.3 Verification Process

You agree to:

  • Complete identity verification through our designated partners
  • Provide accurate and truthful information
  • Submit to background checks where applicable
  • Update documentation before expiration
  • Cooperate with periodic re-verification

4. PLATFORM ACCESS AND USE

4.1 Account Creation

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining account security
  • You may not share or transfer your account
  • You must immediately report unauthorized access
  • Multiple accounts are prohibited without written permission

4.2 Platform License

Ezzyly grants you a limited, non-exclusive, non-transferable license to:

  • Access and use the Platform to offer Services
  • Communicate with Customers through the Platform
  • Receive Bookings and payments
  • Access training and support materials

4.3 Prohibited Uses

You may not:

  • Use the Platform for illegal or unauthorized purposes
  • Circumvent the Platform to avoid Service Fees
  • Scrape, copy, or redistribute Platform content
  • Interfere with Platform security or functionality
  • Use automated systems without permission
  • Harass, threaten, or discriminate against users
  • Create fake reviews or manipulate ratings

5. SERVICE STANDARDS

5.1 Professional Conduct

You agree to:

  • Provide Services professionally and competently
  • Arrive punctually for scheduled Bookings
  • Communicate respectfully with Customers
  • Dress appropriately for the Service type
  • Maintain hygiene and cleanliness standards
  • Complete Services as described and agreed
  • Honor your stated availability

5.2 Quality Standards

You must:

  • Possess the skills necessary for offered Services
  • Use appropriate tools and materials
  • Follow industry best practices
  • Comply with safety regulations
  • Maintain required certifications
  • Deliver Services to Customer satisfaction
  • Address Customer concerns professionally

5.3 Prohibited Conduct

You must not:

  • Discriminate based on race, religion, gender, ethnicity, or other protected characteristics
  • Solicit Customers for services outside the Platform
  • Request or accept tips beyond Platform pricing
  • Engage in romantic or inappropriate relationships with Customers
  • Use Customer information for unauthorized purposes
  • Perform Services while intoxicated or impaired
  • Subcontract Services without Customer consent

6. BOOKINGS AND SERVICE DELIVERY

6.1 Booking Acceptance

  • You may accept or decline Bookings at your discretion
  • Once accepted, you must complete the Booking or face penalties
  • You must respond to Booking requests within the timeframe specified
  • Your acceptance rate may affect your visibility on the Platform

6.2 Service Execution

When you accept a Booking, you agree to:

  • Arrive at the scheduled time
  • Complete the Services as described
  • Notify Customer of any delays immediately
  • Document Service completion as required
  • Obtain Customer confirmation when finished
  • Report any incidents or issues promptly

6.3 Cancellation Policy

  • Provider-Initiated Cancellation: 
  • Must provide valid reason (emergency, illness, etc.)
  • Excessive cancellations may result in suspension
  • Pattern of cancellations leads to account review
  • Customer Cancellation: 
  • More than 2 hours notice: No penalty
  • Less than 2 hours: You may receive cancellation fee
  • No-show by Customer: You receive partial payment

6.4 Location Services

  • You must enable location services during Service delivery
  • Location tracking ensures Customer safety and service verification
  • Route data may be used for quality assurance and dispute resolution

7. PRICING AND PAYMENTS

7.1 Service Pricing

  • You set your own prices within Platform guidelines
  • Prices must be clearly stated and honored
  • No hidden fees or surprise charges allowed
  • Surge pricing may apply during high demand (with Customer notice)
  • You may not request payment outside the Platform

7.2 Service Fees and Commission

Promotional Period (First 30 days):

  • 0% commission on all completed Services
  • ₦5,000 bonus after first 5 completed jobs

Standard Commission (After 30 days):

  • 15-20% commission based on Service category
  • Commission deducted automatically from payments
  • Rates subject to change with 30 days notice

7.3 Payment Processing

  • All payments processed through the Platform
  • Daily payouts available (processed at 6 PM daily)
  • Weekly bulk payments optional
  • Payments sent to registered bank account or mobile money
  • You are responsible for payment receipt accuracy

7.4 Taxes

You are solely responsible for:

  • Personal income tax obligations
  • VAT registration and remittance (if applicable)
  • Corporate tax (for registered businesses)
  • Maintaining tax records
  • Any other tax obligations under Nigerian law

7.5 Refunds and Disputes

  • Ezzyly may issue refunds for unsatisfactory Services
  • You may be liable for refunds due to your actions
  • Payment disputes handled per Platform policies
  • Chargebacks may be deducted from future payouts

8. RATINGS AND REVIEWS

8.1 Customer Reviews

  • Customers may rate and review your Services
  • Reviews are public and affect your visibility
  • You may respond professionally to reviews
  • False or defamatory reviews may be removed
  • You may not incentivize or manipulate reviews

8.2 Performance Standards

Maintaining good standing requires:

  • Minimum 4.0 star average rating
  • Less than 5% Customer complaints
  • 80%+ Booking completion rate
  • Professional response to feedback
  • Continuous improvement efforts

8.3 Consequences of Poor Performance

  • Ratings below 3.5 stars: Reduced visibility
  • Multiple complaints: Account review
  • Serious violations: Immediate suspension
  • Pattern of issues: Permanent deactivation

9. INSURANCE AND LIABILITY

9.1 Provider Insurance

You are encouraged (and may be required) to maintain:

  • Professional liability insurance
  • General liability insurance
  • Vehicle insurance (for transportation services)
  • Workers' compensation (if you have employees)
  • Any insurance required by Nigerian law

9.2 Liability for Services

You are solely liable for:

  • Quality and completion of Services
  • Damage to Customer property
  • Injury to Customers or third parties
  • Loss of Customer belongings
  • Actions of your employees or subcontractors
  • Compliance with laws and regulations

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Ezzyly, Seer Global Solutions Limited, Seer Group Inc., and their affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your provision of Services
  • Your breach of this Agreement
  • Your violation of any laws
  • Customer complaints about your Services
  • Disputes between you and Customers
  • Your negligence or willful misconduct

10. INTELLECTUAL PROPERTY

10.1 Platform Property

All Platform content, features, and functionality are owned by Ezzyly and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute Platform content
  • Use Ezzyly trademarks without permission
  • Create derivative works
  • Reverse engineer the Platform

10.2 Provider Content

By uploading content (photos, descriptions, etc.), you grant Ezzyly:

  • Worldwide, royalty-free license to use your content
  • Right to display your profile and work samples
  • Permission to use content for marketing (with attribution)
  • Right to moderate and remove inappropriate content

10.3 Customer Information

  • Customer information is confidential
  • Use only for providing booked Services
  • Do not retain or share Customer data
  • Delete Customer information after Service completion
  • Report any data breaches immediately

11. SAFETY AND SECURITY

11.1 Safety Requirements

You must:

  • Follow all safety regulations for your Service type
  • Use appropriate safety equipment
  • Report safety hazards immediately
  • Maintain safe work practices
  • Complete safety training as required
  • Cooperate with safety investigations

11.2 Background Checks

  • Ezzyly may conduct background checks
  • You consent to criminal and reference checks
  • Failure to pass checks results in deactivation
  • You must report any criminal charges immediately
  • Background checks may be repeated periodically

11.3 Incident Reporting

You must immediately report:

  • Accidents or injuries
  • Customer complaints or threats
  • Property damage
  • Legal issues or arrests
  • Safety concerns
  • Suspicious activities

12. CONFIDENTIALITY

12.1 Confidential Information

You agree to protect:

  • Customer personal information
  • Platform business information
  • Pricing and commission structures
  • Technical and security details
  • Other Providers' information

12.2 Non-Disclosure

You may not:

  • Share confidential information with third parties
  • Use confidential information for personal gain
  • Retain confidential information after termination
  • Discuss Platform operations publicly without permission

13. TERM AND TERMINATION

13.1 Term

This Agreement begins upon acceptance and continues until terminated by either party.

13.2 Termination by Provider

You may terminate by:

  • Providing written notice to Ezzyly
  • Completing all pending Bookings
  • Settling outstanding payments
  • Deleting the Platform app

13.3 Termination by Ezzyly

We may suspend or terminate your account for:

  • Violation of this Agreement
  • Illegal or unethical behavior
  • Poor performance or ratings
  • Extended inactivity (90+ days)
  • False or misleading information
  • Any reason with notice

13.4 Effect of Termination

Upon termination:

  • Platform access ends immediately
  • Pending payouts will be processed
  • You must return any Ezzyly property
  • Obligations and liabilities survive
  • You may not create new accounts without permission

14. DISPUTE RESOLUTION

14.1 Internal Resolution

First attempt to resolve disputes through:

  • Platform support team
  • Escalation to management
  • Mediation services

14.2 Arbitration

If internal resolution fails:

  • Binding arbitration under Nigerian Arbitration and Conciliation Act
  • Arbitration in Abuja, Nigeria
  • Each party bears own costs
  • Arbitrator's decision is final

14.3 Class Action Waiver

You waive the right to participate in class action lawsuits or class-wide arbitration against Ezzyly.


15. COMPLIANCE WITH LAWS

15.1 Legal Compliance

You must comply with all applicable:

  • Nigerian federal laws
  • State and local regulations
  • Professional licensing requirements
  • Tax obligations
  • Health and safety regulations
  • Consumer protection laws
  • Data protection regulations (NDPR)

15.2 Work Authorization

You represent that you:

  • Have the legal right to work in Nigeria
  • Possess required work permits (if applicable)
  • Maintain valid professional licenses
  • Are authorized to provide stated Services

16. MODIFICATIONS

16.1 Agreement Changes

  • Ezzyly may modify this Agreement at any time
  • Changes notified via app, email, or SMS
  • Continued use constitutes acceptance
  • Material changes require 30 days notice

16.2 Platform Changes

Ezzyly may:

  • Modify Platform features
  • Change Service categories
  • Update policies and procedures
  • Adjust commission rates (with notice)

17. GENERAL PROVISIONS

17.1 Entire Agreement

This Agreement, including Terms of Service and Privacy Policy, constitutes the entire agreement between parties.

17.2 Severability

If any provision is unenforceable, the remaining provisions continue in full effect.

17.3 No Waiver

Failure to enforce any provision does not constitute waiver of future enforcement.

17.4 Assignment

You may not assign this Agreement without written consent. Ezzyly may assign freely.

17.5 Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria.

17.6 Language

This Agreement is in English. Translations are for convenience only.


18. PROMOTIONAL PROGRAMS

18.1 Referral Program

  • Earn ₦3,000 for each Provider you successfully refer
  • Referred Provider must complete 5 Bookings
  • No limit on referral earnings
  • Referral fraud results in termination

18.2 Incentive Programs

  • Ezzyly may offer bonuses and incentives
  • Participation is optional
  • Terms specific to each program
  • Incentives subject to performance requirements

19. DATA PROTECTION

19.1 Privacy Compliance

  • Your data handled per our Privacy Policy
  • Compliance with Nigeria Data Protection Regulation
  • Right to access and correct your data
  • Data retention per legal requirements

19.2 Customer Privacy

You must:

  • Protect Customer personal information
  • Use data only for Service delivery
  • Not collect unnecessary information
  • Report any data breaches immediately
  • Delete Customer data after Service

20. TRAINING AND SUPPORT

20.1 Platform Training

Ezzyly provides:

  • Onboarding materials
  • Service standards guide
  • Safety training resources
  • Customer service best practices
  • Platform feature updates

20.2 Provider Support

Available support includes:

  • In-app help center
  • WhatsApp support line
  • Email assistance
  • Phone support during business hours
  • Provider community forums

21. ACKNOWLEDGMENTS

By accepting this Agreement, you acknowledge that:

 You have read and understood all terms
 You meet all Provider requirements
 You will maintain professional standards
 You understand the independent contractor relationship
 You will comply with all applicable laws
 You accept the commission structure
 You will protect confidential information
 You agree to the dispute resolution process

  • Services violating Nigerian law
