1. AGREEMENT TO TERMS

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Customer," "Service Provider," "you," or "your") and Seer Global Solutions Limited, a Nigerian company and subsidiary of Seer Group Inc. ("Ezzyly," "Company," "we," "us," or "our"), governing your access to and use of the Ezzyly mobile application, website, and related services (collectively, the "Service") in Nigeria and any other countries where we may operate in the future.

By accessing or using our Service, you agree to be bound by these Terms and by the service provider agreement if you are a service provider. If you disagree with any part of these Terms, then you do not have permission to access the Service.

ARBITRATION NOTICE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE IN SECTION 16. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT SECTION, YOU AND EZZYLY AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU AND EZZYLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

2. DESCRIPTION OF SERVICE

2.1 Platform Services

Ezzyly operates an on-demand service marketplace currently available in Nigeria, with planned expansion to other African countries and globally. The platform connects customers seeking services ("Customers") with independent service providers ("Service Providers") who offer various services including but not limited to:

  • Home repairs and maintenance
  • Beauty and personal care services
  • Transportation and logistics
  • Professional services
  • Event services
  • Food and catering services

2.2 Role of Ezzyly

Ezzyly acts solely as a technology platform and intermediary. We do not provide, own, or control any of the services offered by Service Providers. Service Providers are independent contractors and not employees, partners, or agents of Ezzyly or Seer Global Solutions Limited.

2.3 Service Availability

The Service is currently available in:

  • Nigeria: Lagos, Abuja, Port Harcourt, and expanding to other cities
  • Future Expansion: Other African countries (planned), United States, Europe, and other regions (subject to regulatory approval)

2.4 Service Features

The Service may include:

  • User registration and profile management
  • Service search and matching algorithms
  • In-app messaging and communication tools
  • Booking and scheduling systems
  • Real-time tracking and monitoring
  • Payment processing (including daily payouts for Service Providers)
  • Rating and review systems
  • Customer support in local languages
  • USSD and voice booking options (Nigeria)

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Geographic Restrictions

The Service is currently available only in Nigeria. Users must have a valid Nigerian phone number and be physically present in Nigeria to use the Service. As we expand to other countries, additional geographic restrictions may apply.

3.3 Account Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Provide valid Nigerian identification (NIN, Driver's License, Voter's Card, or International Passport)
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Immediately notify us of any unauthorized use of your account

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or our policies
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Have been inactive for an extended period (90 days)
  • Fail verification requirements

4. USER RESPONSIBILITIES AND CONDUCT

4.1 Customer Responsibilities

As a Customer, you agree to:

  • Provide accurate service requirements and location information
  • Be present or make arrangements for service delivery
  • Pay for services as agreed through the platform
  • Treat Service Providers with respect and professionalism
  • Report any issues or concerns within 48 hours
  • Not request illegal or inappropriate services
  • Comply with Nigerian laws and regulations

4.2 Service Provider Responsibilities

As a Service Provider, you agree to:

  • Maintain all required licenses, permits, and certifications under Nigerian law
  • Provide accurate information about qualifications and services
  • Deliver services professionally and as described
  • Arrive punctually for scheduled services
  • Maintain appropriate professional standards
  • Comply with all applicable Nigerian laws and regulations
  • Complete required verification (including BVN for payment processing)
  • Set and honor your stated availability
  • Not engage in discriminatory practices
  • Maintain appropriate insurance where required by law

4.3 Prohibited Conduct

All users must not:

  • Violate any applicable laws or regulations of Nigeria
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Engage in harassment, discrimination, or hate speech
  • Create false or misleading profiles
  • Manipulate ratings or reviews
  • Share account access with others
  • Use automated systems or bots without permission
  • Collect user information for unauthorized purposes
  • Circumvent the platform to avoid fees
  • Engage in money laundering or terrorist financing
  • Violate the Central Bank of Nigeria (CBN) regulations

5. SERVICE PROVIDER RELATIONSHIP

5.1 Independent Contractor Status

Service Providers are independent contractors under Nigerian law, not employees of Ezzyly or Seer Global Solutions Limited. Service Providers have complete control over:

  • When, where, and how they provide services
  • Which service requests to accept or decline
  • Their service pricing (subject to platform guidelines)
  • Their business operations and tax obligations

5.2 Background Checks and Verification

We may conduct verification checks on Service Providers, including:

  • Identity verification through NIN validation
  • BVN verification for payment processing
  • Criminal background checks (where available)
  • Professional license verification
  • Reference checks

The scope and nature of any checks are at our sole discretion and do not constitute an endorsement or guarantee of any Service Provider.

5.3 Tax Obligations

Service Providers are responsible for their own tax obligations under Nigerian tax law, including:

  • Personal income tax
  • VAT registration and remittance (where applicable)
  • Corporate tax (for registered businesses)
  • Withholding tax compliance

6. BOOKINGS AND CANCELLATIONS

6.1 Booking Process

When a Customer books a service:

  • The booking creates a direct contract between Customer and Service Provider
  • Ezzyly facilitates but is not a party to this service contract
  • Nigerian contract law governs the service agreement
  • Specific terms may apply based on service type

6.2 Cancellation Policy

  • Cancellations made more than 2 hours before service: No fee
  • Cancellations made less than 2 hours before service: 25% cancellation fee
  • No-show by Customer: 50% of service cost charged
  • No-show by Service Provider: Account warning/suspension
  • Force majeure events may exempt cancellation fees

6.3 Dispute Resolution Between Users

Users are encouraged to resolve service disputes directly. Ezzyly may provide mediation assistance but is not obligated to do so.

7. PAYMENTS AND FEES

7.1 Payment Processing

  • Ezzyly processes payments on behalf of Service Providers through licensed Nigerian payment processors (Paystack, Flutterwave)
  • Customers authorize us to charge their selected payment method
  • Service Providers authorize us to collect payments on their behalf
  • All payments are in Nigerian Naira (₦)

7.2 Payment Methods

Accepted payment methods include:

  • Nigerian bank cards (Mastercard, Visa, Verve)
  • Bank transfers
  • Mobile money (OPay, PalmPay, etc.)
  • USSD payments
  • Cash (for certain services, being phased out)

7.3 Service Fees

  • Service Providers: 
  • 15-20% commission based on service category
  • Daily payout option available (may include transfer fees)
  • Customers: Service fees may be added to the service cost
  • Fees are subject to change with 30 days notice

7.4 Taxes

  • VAT will be added where applicable under Nigerian tax law
  • Service Providers are responsible for their tax obligations
  • Ezzyly will comply with tax withholding requirements

7.5 Payment Disputes

  • Payment disputes must be reported within 48 hours of the service date
  • We reserve the right to hold disputed funds pending investigation
  • Resolution will follow Nigerian consumer protection guidelines

8. RATINGS AND REVIEWS

8.1 Review Guidelines

  • Reviews must be honest and based on actual experiences
  • Reviews cannot contain offensive, discriminatory, or illegal content
  • Reviews cannot violate Nigerian defamation laws
  • We reserve the right to remove reviews that violate our guidelines

8.2 Response Rights

Service Providers may respond to reviews in accordance with our policies. Both reviews and responses are public.

9. INTELLECTUAL PROPERTY

9.1 Ezzyly Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by Seer Global Solutions Limited or Seer Group Inc. and protected by Nigerian and international intellectual property laws.

9.2 User Content License

By posting content to the Service, you grant Ezzyly a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with the Service.

9.3 Feedback

Any feedback, suggestions, or ideas you provide become the property of Ezzyly without compensation to you.

9.4 Nigerian Content

We respect and promote Nigerian cultural content and comply with local content requirements where applicable.

10. PRIVACY AND DATA PROTECTION

10.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which complies with the Nigeria Data Protection Regulation (NDPR) 2019.

10.2 Data Security

We implement reasonable security measures in compliance with NDPR requirements. However, no method of transmission over the internet or electronic storage is 100% secure.

10.3 Cross-Border Data Transfer

As we expand internationally, data may be transferred to other countries. We will ensure appropriate safeguards are in place as required by NDPR.

11. DISCLAIMERS

11.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE EXTENT PERMITTED BY NIGERIAN LAW.

11.2 No Endorsement

WE DO NOT ENDORSE, WARRANT, OR GUARANTEE ANY SERVICE PROVIDER OR THE QUALITY, SAFETY, OR LEGALITY OF SERVICES OFFERED.

11.3 Third-Party Services

We are not responsible for third-party services, websites, or content accessed through our Service.

11.4 Infrastructure Limitations

We are not responsible for service interruptions due to power outages, network failures, or other infrastructure issues beyond our control.

12. LIMITATION OF LIABILITY

12.1 Disclaimer of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, EZZYLY AND SEER GLOBAL SOLUTIONS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12.2 Cap on Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EZZYLY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ₦100,000 (ONE HUNDRED THOUSAND NAIRA).

12.3 Consumer Protection

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Nigerian consumer protection laws.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Ezzyly, Seer Global Solutions Limited, Seer Group Inc., and their affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of Nigerian law
  • Any dispute between you and another user
  • Your provision or use of services through the platform

14. INSURANCE

14.1 Service Provider Insurance

Service Providers are encouraged to maintain appropriate insurance coverage for their services under Nigerian insurance regulations.

14.2 Platform Insurance

Ezzyly maintains appropriate insurance as required by Nigerian law, but this does not cover Service Provider activities or Customer property.

15. MODIFICATIONS TO TERMS

15.1 Right to Modify

We reserve the right to modify these Terms at any time. Material changes will be notified through:

  • In-app notifications
  • Email to registered users
  • SMS notifications
  • Website announcements

15.2 Acceptance of Changes

Continued use of the Service after changes constitutes acceptance of the modified Terms. Changes become effective 30 days after notification.

16. DISPUTE RESOLUTION

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at TOS@seerglobalsolutions.com.

16.2 Mediation

If informal resolution fails, parties agree to attempt mediation through the Lagos Multi-Door Courthouse or similar mediation service.

16.3 Arbitration

If mediation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act of Nigeria, conducted in English in Abuja, Nigeria.

16.4 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16.5 Jurisdiction

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts in the Federal Capital Territory, Abuja, Nigeria.

17. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

18. SEVERABILITY

If any provision of these Terms is held to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Ezzyly.

20. ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

21. NO WAIVER

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

22. FORCE MAJEURE

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to:

  • Acts of God
  • War, terrorism, riots, embargoes
  • Acts of civil or military authorities
  • Fire, floods, accidents
  • Strikes or labor disputes
  • Power outages or internet failures
  • Pandemic or epidemic

23. LANGUAGE

These Terms are written in English. While translations may be provided for convenience, the English version shall prevail in case of any conflict.

25. REGULATORY COMPLIANCE

25.1 Nigerian Regulations

Ezzyly complies with all applicable Nigerian regulations, including:

  • Nigeria Data Protection Regulation (NDPR)
  • Consumer Protection Council Act
  • Federal Competition and Consumer Protection Act
  • Central Bank of Nigeria (CBN) regulations
  • Nigerian Communications Commission (NCC) regulations

25.2 Future Expansion

As we expand to other countries, additional regulatory compliance requirements will apply and these Terms will be updated accordingly.
